SCORE™ TERMS OF SERVICE

These Terms of Service ("Terms") govern your access to and use of the Score™ platform and related services (the "Services") provided by Rate Tracker Payments LLC, an Ohio limited liability company ("Rate Tracker," "Company," "we," "our," or "us").
By creating an account, accessing, or using the Services, you agree to be bound by these Terms, the applicable End User License Agreement ("EULA"), and the Privacy Policy. If there is a conflict between these Terms and the EULA regarding software licensing, the EULA controls.
1. Eligibility
You represent and warrant that:
- you are at least eighteen (18) years old;
- you have the legal authority to enter into this agreement;
- if acting on behalf of a business, you have authority to bind that business;
- all information you provide is true, complete, and current.
2. Your Account
You are responsible for:
- maintaining accurate account information;
- protecting your login credentials;
- restricting access to your account;
- all activity occurring under your account.
You agree to notify Rate Tracker promptly if you suspect unauthorized access or a security incident.
3. Permitted Use
You may use the Services solely for legitimate business purposes and in accordance with these Terms.
You agree not to use the Services:
- for unlawful purposes;
- to infringe another person's rights;
- to submit fraudulent information;
- to interfere with platform operations;
- to access information belonging to another customer;
- to introduce malware or malicious code;
- to attempt unauthorized access to our systems.
4. Customer Responsibilities
You are responsible for ensuring that information submitted through the Services is accurate and that you have the legal right to provide it.
You remain responsible for:
- business decisions;
- financing decisions;
- accounting decisions;
- tax filings;
- regulatory compliance.
Use of the Services does not transfer these responsibilities to Rate Tracker.
5. Financial Information
You acknowledge that:
- financial analyses depend upon information you provide;
- incomplete or inaccurate information may affect results;
- reports and insights are informational only;
- lenders and financial institutions make independent decisions.
Nothing within the Services guarantees financing or approval for any financial product.
6. Connected Accounts
You may authorize the Services to connect with financial institutions, accounting software, payment processors, or other third-party services.
You authorize Rate Tracker to access information made available through those authorized connections for purposes of providing the Services.
You may disconnect authorized integrations through available account settings or by contacting support, subject to reasonable processing time.
7. Artificial Intelligence Features
Certain Services include automated analytics, predictive models, or AI-assisted features.
These features are intended to assist—not replace—human judgment.
You agree to independently evaluate important recommendations before making business decisions.
8. Subscription Plans
Certain features require a paid subscription.
Subscription details, pricing, billing frequency, and included features will be presented before purchase.
Unless otherwise stated, subscriptions renew automatically until cancelled.
9. Billing
By purchasing a subscription, you authorize Rate Tracker or its payment processor to charge the payment method associated with your account for applicable fees and taxes.
You agree to keep payment information current.
Failure to pay may result in suspension or termination of access.
10. Free Trials and Promotional Offers
Rate Tracker may offer free trials or promotional access.
Unless otherwise stated, promotional offers may be modified or discontinued at any time and are subject to the terms presented with the offer.
11. Referral Programs
From time to time, Rate Tracker may offer referral programs, incentive programs, or commission opportunities.
Eligibility, payment timing, qualification requirements, and other conditions are governed by the applicable referral agreement or program terms.
Participation in a referral program does not create an employment, agency, partnership, or joint venture relationship with Rate Tracker.
Rate Tracker reserves the right to investigate suspected fraud or abuse and to withhold or recover payments where permitted by applicable program terms.
12. Communications
You consent to receive communications related to your account electronically, including by email, through the platform, or by other electronic means permitted by law.
These communications may include:
- security notices;
- billing notices;
- product updates;
- legal notices;
- customer support responses;
- operational announcements.
13. Intellectual Property
The Services, including all software, reports, graphics, trademarks, branding, analytics, Financial Health Scores, and related materials, are owned by Rate Tracker or its licensors and are protected by applicable intellectual property laws.
Nothing in these Terms transfers ownership of those rights to you.
14. User Content
You retain ownership of information you submit to the Services.
You grant Rate Tracker the rights necessary to host, process, analyze, transmit, and otherwise use that information for purposes of providing and improving the Services, as described in the Privacy Policy and EULA.
You represent that you have the legal right to provide any information you upload.
15. Acceptable Use
You agree not to:
- interfere with the operation of the Services;
- overload our systems;
- bypass security measures;
- impersonate another person;
- upload malicious software;
- violate applicable law;
- use the Services to facilitate fraud;
- infringe the intellectual property rights of others.
16. Service Modifications
Rate Tracker continually improves the Services.
Accordingly, we may:
- add features;
- modify features;
- discontinue features;
- change interfaces;
- update functionality.
Where reasonably practical, material changes affecting paid Services will be communicated in advance.
17. Suspension
We may suspend access where reasonably necessary to:
- investigate suspected violations;
- protect platform security;
- prevent fraud;
- comply with applicable law;
- protect other customers;
- perform maintenance.
Where appropriate, we will provide notice and an opportunity to resolve the issue before suspension.
18. Termination
Either party may terminate these Terms as permitted by the EULA or applicable subscription agreement.
Termination does not affect rights or obligations that accrued before termination.
19. Disclaimer
The Services are intended to provide business insights and analytical tools.
They are not a substitute for professional legal, accounting, tax, investment, or financial advice.
You remain responsible for your business decisions.
20. Limitation of Liability
The limitations of liability contained in the EULA apply to these Terms and are incorporated by reference.
21. Privacy
Our collection and use of information is governed by the Score Privacy Policy, which forms part of these Terms.
22. Compliance with Law
You agree to comply with all applicable laws in connection with your use of the Services.
23. Changes to These Terms
Rate Tracker may revise these Terms from time to time.
Material revisions will become effective after reasonable notice. Continued use of the Services after the effective date of revised Terms constitutes acceptance of those revisions.
24. Governing Law
These Terms are governed by the laws of the State of Ohio.
The dispute resolution provisions contained in the EULA apply to these Terms unless otherwise agreed in writing.
25. Entire Agreement
These Terms, together with the EULA, Privacy Policy, and any applicable order forms or subscription agreements, constitute the entire agreement between the parties concerning the Services.
